By installing, accessing, or using the XEngageAI Chrome extension, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and XEngageAI ("we," "us," or "our"). We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.

2. Description of Services

XEngageAI provides AI-powered writing assistance tools for X (formerly Twitter), including:

• AI-generated reply suggestions that you can copy and use
• Post engagement scoring and insights
• Content customization based on your preferences
• Safeguard feature to track engagement health
• Comment analysis tools

3. Account Registration

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities under your account

You must be at least 13 years old to use our Services. By using the Services, you represent that you meet this age requirement.

4. Subscription and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Free tier users have limited access to features. Paid plans provide additional capabilities and higher usage limits.

4.2 Billing

• Payments are processed securely through Stripe
• Subscriptions automatically renew unless cancelled before the renewal date
• Prices are subject to change with reasonable notice
• All fees are exclusive of applicable taxes

4.3 Refunds

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with X's Terms of Service. You agree NOT to:

• Use the Services to generate spam, harassment, or abusive content
• Violate X's Terms of Service or Community Guidelines
• Use the Services for any illegal or unauthorized purpose
• Attempt to circumvent usage limits or security measures
• Share your account credentials with others
• Use automated tools to access the Services (beyond the extension itself)
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services to generate misleading or deceptive content
• Resell or redistribute the Services without authorization
• Impersonate others or misrepresent your affiliation

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by XEngageAI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of content you create. By using our Services, you grant us a limited license to process your inputs (such as post content for generating replies) solely to provide the Services.

6.3 AI-Generated Content

Content generated by our AI tools is provided as suggestions. Once you copy and use such content, you are responsible for it. We do not claim ownership of AI-generated suggestions you choose to use.

7. Disclaimers

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, appropriate, or effective
• Using the Services will result in any specific outcomes on X
• The Services will be compatible with all versions of Chrome or X

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XENGAGEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or account suspension on X
• Damage to reputation or goodwill
• Any actions taken by X against your account

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless XEngageAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including X's Terms of Service; or (d) any content you post using our suggestions.

10. Third-Party Services

Our Services integrate with third-party services including:

• X (Twitter): You must comply with X's Terms of Service when using content generated by our tools
• OpenAI: AI generation is powered by OpenAI's models, subject to their usage policies
• Stripe: Payment processing is handled by Stripe under their terms

We are not responsible for the actions, content, or policies of third-party services.

11. Termination

You may terminate your account at any time by contacting us or using account settings. We may suspend or terminate your access to the Services at any time, with or without cause, including if:

• You violate these Terms
• Your payment fails or is disputed
• We believe your use may harm other users or the Services
• Required by law or third-party policies

Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where XEngageAI is established, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration, except where prohibited by law. You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and XEngageAI
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control
